Budget Workbook Template For Pre-seed & Seed Rounds

TechStars Model Seed Financing Documents

These legal documents are used by TechSarts as a starting point for seed stage financing. They are great model documents for an angel or seed financing in the $250k-$2M range. They represent a “light” preferred equity financing and have very simple terms that are generally “balanced” but if anything lean toward the entrepreneurs and represent a great deal of trust in them.The documents were created by Cooley Godward Kronish, LLP and include: a Term Sheet, Restated Articles Of Incorporation, the Bylaws, a Subscription Agreement and a Board Member Election Consent. They also offer relevant documents for a convertible debt deal.

Orrick's Documents

These legal documents were created by Orrick -  an international law firm. They were published on Docracy, where you can find many other helpful templates. The documents include: Restricted Stock Purchase Agreement, Common Stock Certificate, Bylaws for a Delaware Corporation, Board Approval of Option Grant, Certificate of Incorporation, Board Approval of Stock Grant, Bill of Sale, Assignment Separate From Certificate, Action by Written Consent of Incorporator and Acknowledgement of Receipt of Stock and Consent Form.
